In the past, compliance was considered a given, while ethics were often undervalued in corporate operations. However, as public awareness and expectations have evolved, corporate ethics have become an essential element for sustainable growth. Today, ethical management is no longer optional—it is a fundamental requirement for a company’s long-term success.Ethical management refers to a company’s commitment not only to fulfilling its economic and legal responsibilities, but also to upholding ethical responsibilities that are expected by societal norms. It means embedding these principles into the company’s decision-making and operational practices.

In line with this global trend, we are actively implementing ethical management. To reflect on our internal practices and incorporate an objective external perspective, we established the Compliance & Ethics Oversight Committee in 2022, consisting primarily of external experts.

We have enacted a Code of Ethics to serve as the foundation for sound decision-making, conduct, and business operations among our employees. Through regular training and ethics pledges, we aim to embed ethical management into our corporate culture.

Going forward, we will continue to enhance shareholder and corporate value through ethical management, while striving to advance to a higher level of responsibility, including ESG initiatives.

As an employee of OSANG HEALTHCARE Co., Ltd. (hereinafter referred to as the “Company”), I take pride in my role and hereby pledge to uphold the following principles in the performance of my duties:

  5. If I am uncertain about the ethical implications of any task or behavior, or if there is a potential violation of the Code of Ethics, I will consult with my supervisor or the department responsible for ethical management.

The Compliance & Ethics Oversight Committee of OSANG HEALTHCARE Co., Ltd. is an independent and autonomous body established to promote ethical management. The committee has been in operation since 2022 and consists of three external experts with professional knowledge and experience in compliance and ethics, along with one outside director.

Scope of Responsibilities

  • Pre- or post-review of key resolutions made by the Board of Directors and other committees
  • Prior review of transactions with stakeholders or major investment decisions; provide recommendations to the Board if necessary
  • Review of proposed enactments or amendments to internal regulations for compliance with ethical standards
  • Recommend the establishment of compliance and ethics policies and plans, and improvements to related systems
  • Notify the Board of any identified risks of management’s breach of compliance obligations and provide opinions
  • Upon discovery of a potential compliance risk, conduct investigations directly or instruct the supporting department to do so, and ensure results are reported
  • Notify the Board or Audit Committee of confirmed compliance violations and request corrective measures
  • Receive reports on violations of compliance and ethical obligations involving executive management
  • Review appeals related to reported violations of compliance and ethics
  • Deliberate and decide on major issues raised by the compliance and ethics supporting department
  • Handle matters related to the protection of whistleblowers
  • Address other matters deemed necessary by the Committee

Meeting Schedule

  • Regular meetings: once per quarter (in principle)
  • Special meetings: convened by the Chairperson as needed
